I would maybe tone down the paragon feats to maybe two max. Perhaps have one copy with Lev+Firewalking and the other with WB+Passwall.
Reason: Having all four on one item is pretty OP and pretty silly. Espeically for classes that use offhand torch or shifters.

I thought that, but then thought, i dont see that PW or FW are useful at all atm, other than the Elemental Planes and maybe Molten Lakes water, so it wasn't too powerful imo.

I think aside from that it's just far too simplistic. Not sure 35% to all elements on its own is even really worthy of an XR item. Possibly add some thematic active abilities, as well as some miscellaneous/spell immunities?

You didnt mention +7 to all skills too Maybe something like Blinding speed, + to saves, use of Resist Elements CL 60, spell imm bigby's, spell imm prismatic spray, uses of mord?

Eh, in practical terms you almost never require all four at once; while it seems likely that Pass-wall and Fire-walking might be needed more in Paragon areas, I'm quite okay with putting them all on one item like this. Let's by honest, Shifters will probably not wear it full-time over something like this, or this. There are also some quite decent XR torches available. If it was a Ring it would be too easy as a swap item, but I see this as a more general version of Standard of Shedaklah, ie: 'weaker item that you wear when you need the specific ability' - in this case, it's a swap item for Pass-wall + Fire-walking, since Levitation and Water-breathing are commonly included in equipment setups. I agree with this, to my eye it looks a bit on the weak side at the moment (especially when compared to other XRs), even as a swap-in item. 35% to all elements is basically 'well randomized BUR + aug' territory for Torches. Some random thoughts I'm having that may be viable (not all at once of course, also not thinking too hard ATM since I just woke up!). Obviously, if you pick the stronger ones then you don't need to buff the rest of the item much: 1) Add +15 to Acid/Cold/Electric/Fire/Sonic saves [this should probably be a given] 2) Spell Immunity: Implosion 3) Immunity to some basic elemental spells used by enemy casters (eg: Polar Ray, Great Thunderclap, Shout...) 4) Active Ability: +25% to all elements for you for the next 2 turns, have to rest with it on + keep wearing it to retain the effect 5) Blinding Speed 6) Firestorm + Fireball, multiple casts/day (for burning trees eg: Rona, Azzagrat P1) Question: Is there a particular reason you've made it grant the Paragon Feats, as opposed to simply having the survival properties (like the basic Rings have)? All this means is that the elemental bonus doesn't stack with the feat if you already take it, I think it's fine to stack.

Shifters do not benefit from passwall items. The items have to remain equipped after resting, shifters re-equip all their gear when shifting. Xorn is the only option for passwall.
